MC Brazil Terminates Tender Offer for 2031 Notes
MC Brazil cancels offer to buy its 7.250% Senior Secured Notes due 2031.
The Brief
- MC Brazil terminated its tender offer for 7.250% Senior Secured Notes due 2031.
- The decision follows failure to meet the Financing Condition.
- Notes tendered will be returned to holders without interest or payment.
MC Brazil Downstream Trading S.à r.l. has terminated its previously announced tender offer for its outstanding 7.250% Senior Secured Notes due 2031, along with the related consent solicitation.
The termination was made due to the failure to satisfy the Financing Condition, which was required for the offer to proceed.
The company stated that it does not expect the Financing Condition to be met by the Early Settlement Date, which was expected on October 29, 2026.
As a result, none of the consideration, including early tender payments, will be paid to holders who tendered Notes or delivered Consents.
All Notes tendered will be returned to their holders and credited back to their accounts at The Depository Trust Company without further action required.
The termination means the Proposed Amendments will not become operative, and the Notes will remain under the original terms of the Indenture, the ICA, and the Accounts Agreement.
